Website Design Terms

The following terms and conditions apply to all of the Dacan Internet Website Design, Development and Hosting services.

1. Acceptance

We do not request that any Client signs to accept these terms and Conditions. Accepting a quote and subsequently We begin work, assumes acceptance of these terms.

Any purchase, payment of deposit or initial monthly payment implies that you have read and accepted these Terms.

2. Charges

We will provide an Estimate by email for works based on a brief provided by the Client. The Estimate will be valid for a period of 30 days. We reserve the right to cancel or amend an Estimate after the expiry of this 30 day period.

The estimate will be based on the time We assess will be required to complete the work requested. If further requests are made which deviate from the original brief, We reserve the right to amend the Estimate accordingly. Changes to the original brief and additional charges will only be carried out with the approval of the Client.

3. Payment

We have two Payment Options:

i) Deposit and Balancing Payments or:
ii) Monthly Payments

Deposit and Balancing Payments

An initial deposit of 30% of the total estimate will be required on acceptance of the estimate and prior to any work commencing. Once a deposit is received we will then create the initial look and structure of your website. Once created we will seek Your approval for the appearance and/or request details of any required changes. Once Your approval for the overall look is received we will then progress with creating internal pages and the Content Management System.

Following your approval of the initial design and layout we will invoice for a further 30% of the initial Estimate amount plus 30% of any additional work that may have been agreed in the interim period.

Where there is a delay by the Client in excess of 14 days in responding to emails regarding providing feedback, content for pages or Approving a development stage, then, at our discretion an interim invoice may be issued. This invoice will be for 50% of the outstanding balance including any additional work agreed over and above the original estimate.

Where there is a delay by the Client in excess of 14 days in responding to our final completion email seeking Your approval, then, at our discretion a final invoice may be issued. This will be the total outstanding amount less any additional costs such as hosting, SSL certificates etc.

Hosting charges will only come in to effect once the website is approved and live on its own domain on our server.

Where the website may be hosted elsewhere, i.e. on a hosting platform not provided by Us, the final balance will be due once the website is complete (save where there has been a delay in responding as outlined above) but prior to the transfer of any files. For websites hosted elsewhere additional charges may apply prior to transferring a website to the third party server, for example where our standard set up and charges do not reflect the complexity of the website in question.

A website will be deemed to be approved for completion if there is a delay of 30 days or more in responding to Our emails, at which time the final balance invoice will be due.

Monthly Payments

For some websites, where custom development work is not required we are able to offer a monthly payment option.

Where a monthly payment amount is agreed, an initial payment (or deposit) must be received from a debit or credit card using our Online Payment facility.

Unless otherwise stated, no further payment will be due until the website is approved by the client and set live on its domain name save for in the following circumstances:

  • Where there is a delay of more than one month by the client in providng feedback to move to next stage of development
  • Where there is a delay in providing final approval by the client in excess of two months

Where either of the above two points arise, at our discretion, we may charge a further one months fee to continue with any further work.

A Continuous Authority (recurring payment) for the monthly amount agreed will then be set up from the initial payment details and will be processed as soon as possible once the website is live or one month from the initial deposit payment date, which ever is later. Further payments will then be collected on the same day each month until cancellation.

There is no minimum term commitment for our pay monthly websites. Cancellation can be made by email with 1 months notice.

4. Website Hosting

We recommend hosting a website on our servers in order to guarantee compatibility of the finished product with the hosting server. Where there are issues with a website following transfer of files to a third party server, additional fees may be payable in reworking some files to make compatible. We cannot offer monthly payment options where a website is hosted by a third party provider.

Hosting charges will only come in to effect once the website is approved and live on its own domain on Our server.

Hosting fees are invoiced annually unless a monthly payment is agreed and set up.

Hosting fees are agreed during the initial estimate stage but can be subject to change at any time as and when we amend our overall prices.

We run UK based fast, dedicated servers with excellent speed and uptime. However, there may be limited downtime due to essential maintenance or reasons beyond our control. We cannot be held liable for any such downtime.

Servers are backed up on a daily basis. These backups include full server backups, data and file back ups as well as separate, remote database back ups ensuring your website data is safe at all time. We also store copies of all websites locally.

5. Website Content

An estimate will be provided based on the Client requirements and generally to include for the overall design and ability to add your own content via the Admin facility provided.

However, during the development we will upload content as available and as provided by You. Where there is a delay in providing content (text and images), in order to facilitate the development to our timescales and schedules, we may use generic 'Lorum Ipsum' text and stock images. This will give a good overall picture of the website appearance. Any temporary text and images can be edited and replaced once access to the Admin facility (CMS) has been provided.

Where stock images are used and the Client wishes to utilise these, a small additional payment may be required.

With all websites an element of Search Engine Optimisation (SEO) is applied to all pages and sections created. Therefore, contentcan be added by the Client via the CMS, it is beneficial to have text content for all (or some) pages ready prior to work commencing to give us a better understanding of the services You provide.

All text content should be delivered as a Microsoft Word, Email or other similar electronic document with the different pages of the website easily identifiable within the document.

We will provide access to the Admin facility (Content Management System / CMS) to manage Your website content. Login email and password can be changed by You at any time. A simple, temporary password is provided to allow initial access. This should be changed to a more suitable, secure and memorable password at your earliest opportunity.

The login details must be kept safe and secure so as to ensure no unauthorised access of the CMS is possible. We accept no responsibility where a CMS is accessed and website content changed without your knowledge.

6. Web Browsers

We make every effort to ensure websites are designed to be viewed by the majority of visitors, regardless on the browser or device it is being viewed on. Websites are designed to work with a broad range of the most popular current browsers and are mobile responsive to display well on the most popular mobile devices. You agree that We cannot guarantee correct functionality with all browser software across different operating systems and that future developments in these software may result in some functionality not working as it should.

As with all IT based systems, improvements and upgrades may be required as technology advances and We cannot accept responsibility where websites do not display correctly in new versions of Browsers and mobile Devices, after a website has been completed.

7. Cancellation / Termination

Termination of services by the Client can be provided by Email or in Writing, however, we may need clarification that it is the client requesting cancellation. Service will terminate one month after cancellation or at the end of a previously paid period.

Monthly payments can be cancelled with 1 months notice. There is no minimum term commitment with this option.

8. Domain Names

For all websites we offer the option of us purchasing a domain name on behalf of the Client. In most cases we include the cost of a .co.uk domain name in all estimates. Alternatively a Client may purchase their own domain name or use an existing domain name and point to our servers. Full instructions to point to our servers will be provided at the relevant time.

Where a domain extension other than a .co.uk is purchased by Us, an additional charge will be made and included in the annual hosting renewal charge or monthly recurring payments.

Where a client requires a particular domain name, we cannot guarantee its availability until it has been fully registered by You or on Your behalf. We can provide suitable alternatives of available domain names if required.

9. Governing Law

This Agreement shall be governed by English Law.

10. Liability

The material displayed on this website is provided without any guarantees, conditions or warranties.

We will not be held liable for any direct, indirect or consequential loss or damage incurred by You, including, without limitation any liability for loss of income or revenue, loss of business, loss of profits or contracts; loss of anticipated savings, loss of data, loss of goodwill, wasted management or office time, and for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable. This does not affect Our liability for any liability which cannot be excluded or limited under applicable law.
